Introduction
These Terms of Service (“Terms”) govern your access to and use of ProjectCode, an AI-powered platform operated by Lenditt Innovations & Technologies Pvt. Ltd. (“ProjectCode,” “we,” “us,” or “our”), a company incorporated under the Companies Act, 2013 of India.
ProjectCode provides a platform that enables developers and non-technical users, including but not limited to entrepreneurs, collaborators, and visitors (“you” or “your”), to create, modify, share, and deploy software applications using natural-language inputs and AI-assisted tools.
Your access to and use of the Services is also subject to our Privacy Policy, which describes how we collect, use, store, and disclose your information. The Privacy Policy is available at https://projectcode.dev/privacy-policy.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by both these Terms and the Privacy Policy. You further agree to comply with all applicable laws and regulations. If you do not agree to these Terms or the Privacy Policy, you must refrain from accessing or using the Services.
Definitions
- “Account” means the registered account created by a User to access and use the Services.
- “Credits” means the usage-based units allocated or purchased by the User for accessing and consuming features of the Services, including AI generations, code creation, and related functionalities.
- “AI Services” means the artificial intelligence-powered features and functionalities made available through the Services.
- “Outputs” means any code, applications, content, or materials generated by the Services in response to User inputs.
- “Inputs” means any prompts, data, instructions, files, or content submitted by the User to the Services.
- “Third-Party Services” means any services, software, infrastructure, APIs, or platforms provided by third parties that are integrated with or used in connection with the Services.
- “Third-Party AI Providers” means external artificial intelligence model providers or platforms used to power or support the AI functionalities of the Services.
- “Applicable Law” means all laws, statutes, regulations, rules, and governmental requirements applicable to the User or the Company, including but not limited to the Digital Personal Data Protection Act, 2023 and rules issued thereunder.
- “User” means any individual or entity that accesses or uses the Services, including registered account holders and visitors.
- “Platform” means the ProjectCode website, applications, and associated infrastructure through which the Services are made available.
- “Generated Applications” means software applications, systems, or components (including frontend, backend, and database elements) created using the Services.
The Services
ProjectCode provides tools, infrastructure, and functionalities that enable users to generate, modify, test, and deploy code, applications, and software components through the use of artificial intelligence, third-party integrations, and development environments (collectively, the “Services”). The Services are designed to enhance development efficiency and support a broad range of technical and non-technical use cases.
The scope, features, and functionality of the Services may vary over time and may be subject to limitations, including but not limited to usage thresholds, technical constraints, or third-party dependencies.
We reserve the right, in our sole discretion, to update, modify, suspend, restrict, or discontinue, in whole or in part, the Services at any time, with or without notice. This includes, without limitation, the availability of any feature, functionality, integration, or access to the Services.
We shall not be liable for any modification, suspension, or discontinuation of the Services, or any part thereof, nor for any resulting loss of data, functionality, or access. ProjectCode does not guarantee that the Services will be available at all times or operate without interruption. The Services may be subject to downtime, delays, or disruptions due to maintenance, updates, technical issues, or factors beyond our control. ProjectCode does not provide any service level commitments, guarantees, or uptime assurances unless expressly agreed in a separate written agreement.
We reserve the right to perform scheduled or unscheduled maintenance, which may result in temporary unavailability of the Services. ProjectCode shall not be liable for any loss or damage arising from any such interruptions or unavailability.
Data Loss
ProjectCode shall not be liable for any loss, corruption, or unavailability of data, including due to user actions, system failures, service interruptions, deletion requests, or third-party dependencies, and does not guarantee the recovery of any data once deleted.
Eligibility
You must be at least sixteen (16) years of age and legally capable of entering into a binding agreement under applicable law in order to access or use the Services. By accessing or using the Services, you represent and warrant that you meet the foregoing requirements and possess the legal capacity and authority to enter into these Terms.
If you are accessing or using the Services on behalf of an organization, entity, or other legal person, you further represent and warrant that you are duly authorized to bind such organization to these Terms, and in such cases, the terms “you” or “your” shall refer to both you as an individual and such organization.
We reserve the right, in our sole discretion, to refuse access to or use of the Services to any person or entity at any time, including where we reasonably believe that such person or entity does not meet the eligibility requirements set forth herein.
Account Registration and Security
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep such information current.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify ProjectCode immediately of any unauthorized access to or use of your account or any other breach of security.
ProjectCode shall not be liable for any loss or damage arising from your failure to comply with the foregoing obligations.
API Credentials Responsibility
The User shall be solely responsible for all activities conducted through its account credentials, including API keys, access tokens, and authentication mechanisms. The User agrees to maintain the confidentiality and security of such credentials and to implement appropriate safeguards to prevent unauthorized access or use.
Any actions taken using the User’s credentials shall be deemed to have been authorized by the User, and ProjectCode shall not be liable for any loss, damage, or unauthorized activity resulting from the User’s failure to secure such credentials.
Your Use of the Services
You agree to access and use the Services solely in accordance with these Terms and all applicable laws, rules, and regulations. You shall not engage in any activity that violates these Terms, infringes upon the rights of any third party, or otherwise results in misuse of the Services. Without limiting the generality of the foregoing, you agree that you shall not, directly or indirectly:
- use the Services for any unlawful, illegal, or fraudulent purpose;
- create, generate, transmit, or distribute any malicious code, including but not limited to malware, viruses, worms, or exploits;
- attempt to gain unauthorized access to, interfere with, damage, or disrupt any systems, servers, data, or networks connected to the Services;
- infringe, misappropriate, or violate any intellectual property rights or other proprietary or legal rights of any person or entity;
- misuse, abuse, or improperly utilize any application programming interfaces (APIs), including but not limited to excessive automated requests, scraping, or circumvention of usage limits or safeguards;
- interfere with, disrupt, or compromise the integrity, security, or performance of the Services or any related infrastructure;
- use the Services in any manner that could harm, disable, overburden, or impair the functionality or availability of the Services.
- engage in any activity intended to extract, replicate, reverse engineer, or otherwise derive underlying models, algorithms, or datasets used in the Services, including through automated scraping, prompt injection, or systematic querying;
- use the Services to intentionally generate malicious code, exploits, or content designed to harm systems, networks, or users;
- conduct automated or high-volume requests designed to map, benchmark, or exploit the behaviour of AI models beyond permitted usage;
- use the Services to bypass, evade, or undermine fraud detection systems, security controls, or risk management mechanisms implemented by any person or entity;
- use the Services to impersonate any individual or entity, or to create, generate, or distribute content intended to facilitate identity spoofing, misrepresentation, or fraudulent identity creation;
- use the Services in connection with any unlawful financial activity, including but not limited to illegal lending practices, predatory lending, unauthorized credit activities, or any activity in violation of applicable financial laws or regulations.
- use the Services in violation of any applicable export control laws, sanctions, or trade restrictions;
We reserve the right, in our sole discretion, to monitor compliance with this section and to suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we reasonably determine that you have violated this section or otherwise failed to comply with its requirements.
Payments, Subscriptions, and Billing
The Services may operate on a credit-based usage model. ProjectCode may, at its sole discretion, provide an initial allocation of free credits, including but not limited to, a one-time grant of seven million (7M) credits, which may be subject to change, limitation, or withdrawal at any time. Credits are consumed based on your usage of the Services, including but not limited, to AI generations, code creation, application development, and deployment-related activities.
Use of certain features of the Services may require the consumption of credits. Once your available credits are exhausted, you will be required to purchase additional credits in order to continue accessing such features.
All purchases of credits are final, non-refundable, and non-transferable, except as required under applicable law. Credits do not constitute currency, have no monetary value, and cannot be redeemed for cash or any other form of value.
ProjectCode reserves the right to modify credit pricing, usage rates, or the structure of the credit system at any time, with or without prior notice. Continued use of the Services following any such changes constitutes your acceptance of the updated pricing or usage terms.
Upon successful completion of a payment, an invoice may be generated and made available to you through the Services or via electronic communication. You are responsible for providing accurate billing information and for complying with all applicable tax obligations.
ProjectCode reserves the right to suspend or restrict access to the Services in the event of non-payment, failed transactions, or suspected fraudulent activity. Credits do not expire and will remain available in your account until used, unless otherwise specified by ProjectCode.
ProjectCode reserves the right, in its sole discretion, to determine, modify, or update the manner in which credits are calculated, consumed, or allocated at any time, with or without prior notice.
The User shall be solely responsible for the payment of all applicable taxes, duties, or governmental charges associated with its use of the Services.
Third-Party Services and AI Providers
The Services may integrate with or rely upon third-party services, infrastructure providers, and artificial intelligence models, including but not limited to external AI model providers and APIs.
You acknowledge and agree that ProjectCode does not control and is not responsible for the availability, performance, accuracy, or reliability of any such third-party services. Any outputs generated through the Services may be dependent on such third-party providers.
ProjectCode shall not be liable for any loss, damage, or liability arising from or related to the use of, or inability to use, any third-party services, including any errors, interruptions, delays, or changes in functionality. You acknowledge and agree that your Inputs may be shared with and processed by Third-Party AI Providers for the purpose of generating Outputs and providing the Services, and such processing shall be subject to their respective terms and policies.
Third-Party AI Training
You acknowledge and agree that Inputs and related data may be shared with Third-Party AI Providers for the purpose of generating Outputs and enabling the Services. To the extent such Third-Party AI Providers utilize submitted data for model training, improvement, or analytics, such use shall be governed by their respective terms and policies.
ProjectCode does not control and shall not be responsible for the data usage practices of such Third-Party AI Providers. Users are encouraged to review the applicable terms of such providers prior to using the Services. ProjectCode shall not be liable for any use, processing, or retention of data by such Third-Party AI Providers.
Where required under applicable law, including the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025 (as notified and amended from time to time), the User shall ensure that appropriate notice and consent have been obtained for such data sharing and processing.
AI Features and Outputs
The Services include features and functionalities powered by artificial intelligence that generate outputs, including but not limited to code, applications, and other materials, based on user-provided inputs. You acknowledge and agree that:
- such outputs may be inaccurate, incomplete, or non-unique, and may not reflect correct, current, or suitable information;
- such outputs may contain errors, defects, bugs, or security vulnerabilities;
- such outputs are generated automatically and are not reviewed, verified, audited, or endorsed by ProjectCode;
- the availability, nature, and performance of AI-powered features may change, be limited, or be discontinued at any time without notice.
You further acknowledge and agree that you are solely responsible for reviewing, testing, validating, and verifying all outputs prior to their use, implementation, or deployment. You shall ensure that any such outputs are accurate, secure, compliant with applicable laws, and suitable for your intended purposes.
ProjectCode shall not be responsible or liable for any reliance placed on AI-generated outputs, or for any loss, damage, or liability arising from the use, implementation, or deployment of such outputs.
Decision Responsibility
The User acknowledges and agrees that all decisions made based on Outputs, including but not limited to development, deployment, configuration, security implementation, and business use, are undertaken solely at the User’s discretion and risk.
ProjectCode shall not be liable for any decisions made or actions taken by the User in reliance on Outputs, nor for any resulting outcomes, losses, or damages.
No AI Explainability Guarantee
The User acknowledges and agrees that the artificial intelligence systems used in connection with the Services may operate using complex models and processes that are not inherently transparent or interpretable. ProjectCode does not warrant or guarantee the explainability, interpretability, or traceability of any Outputs generated through the Services.
Generated Code and Applications
The Services may generate code, applications, and software systems, including but not limited to, frontend, backend, and database components, through the use of artificial intelligence and related technologies. You acknowledge and agree that any such generated outputs may require modification, customization, or further development prior to use; may not be secure, stable, or suitable for production environments; and may contain defects, errors, bugs, or security vulnerabilities.
You further acknowledge and agree that you are solely responsible for reviewing, testing, securing, and validating all generated outputs prior to their use, implementation, or deployment. You shall ensure that such outputs are accurate, reliable, compliant with applicable laws, and appropriate for your intended purposes.
ProjectCode shall not be responsible or liable for any issues, damages, or losses arising from the use, misuse, or deployment of generated code, applications, or systems.
Open Source and Third-Party Code
The Services may generate outputs that include or rely upon open-source software, third-party libraries, or external dependencies. You acknowledge and agree that you are solely responsible for identifying any such components, complying with all applicable license terms, and fulfilling any attribution, notice, or usage requirements associated therewith. ProjectCode does not represent or warrant that any generated outputs are free from third-party rights, restrictions, or obligations, and you are solely responsible for ensuring that your use, modification, or distribution of such outputs does not infringe or otherwise violate any applicable laws or the rights of any third party.
User Inputs and Feedback
You are solely responsible for any inputs, prompts, data, or content that you provide to the Services. You represent and warrant that such inputs do not contain any unlawful, harmful, infringing, or otherwise prohibited content, including, without limitation, confidential information, personal data of third parties without authorization, or content that violates intellectual property rights.
ProjectCode does not monitor or control user inputs and shall not be responsible for any consequences arising from such inputs or their use in generating outputs.
If you provide ProjectCode with any feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you hereby grant ProjectCode a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Services without any obligation, compensation, or attribution to you.
Deployment and Hosting Responsibility
The Services may enable you to generate applications, code, or software systems that can be deployed or used in external environments. You acknowledge and agree that ProjectCode does not provide hosting, deployment, or infrastructure services unless explicitly stated.
You are solely responsible for the deployment, configuration, security, and maintenance of any generated applications or systems, including any third-party services or infrastructure used in connection therewith.
ProjectCode shall not be liable for any issues, failures, security breaches, or damages arising from the deployment or operation of such applications.
Your Data
You may provide inputs, prompts, files, or other content to the Services (collectively, “Data”), and you retain all rights, title, and interest in and to such Data, subject to the rights granted herein.
By accessing or using the Services, you grant ProjectCode a limited, non-exclusive, worldwide, royalty-free, and revocable license to use, process, store, reproduce, and transmit Data solely for the purposes of operating, maintaining, improving, and providing the Services. This includes, without limitation, the use of such Data in connection with artificial intelligence systems, analytics, and third-party infrastructure providers engaged in the delivery of the Services.
You represent and warrant that you have all necessary rights, permissions, and authorizations to provide the Data to the Services and to grant the foregoing rights, and that such Data does not violate any applicable laws or infringe the rights of any third party.
The Company shall process personal data in accordance with applicable data protection laws in India, including the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025 (as notified and amended from time to time). Users shall have the right to access, correct, update, and erase their personal data, subject to applicable law, and may exercise such rights through the mechanisms provided by ProjectCode.
Data Processing Roles
For the purposes of applicable data protection laws in India, including the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025 (as notified and amended from time to time), the User shall act as the Data Fiduciary and ProjectCode shall act as the Data Processor, processing personal data solely on behalf of and in accordance with the documented instructions of the User, unless otherwise expressly agreed in writing.
The User represents and warrants that it has obtained all necessary consents, provided all required notices, and established a valid legal basis for the collection and processing of personal data submitted to the Services, in compliance with the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025.
ProjectCode shall process such personal data only for the purposes of providing and maintaining the Services, and in accordance with applicable law and the User’s instructions.
AI Training and Data Usage
ProjectCode shall not use Customer Data, Inputs, or Outputs to train or improve its artificial intelligence models unless it has obtained explicit and informed consent from the User for such purpose.
Where such consent is provided, ProjectCode may process such data solely in anonymized and aggregated form, and strictly in accordance with the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025 (as notified and amended from time to time).
In the absence of such consent, Customer Data shall be used exclusively for the purpose of providing, operating, maintaining, and securing the Services, and shall not be used for model training or improvement.
Security and Data Protection
ProjectCode implements reasonable and appropriate technical and organizational measures to safeguard the security of your data, including adherence to industry-standard security practices, in compliance with the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025.
However, you acknowledge and agree that no system or method of transmission or storage is completely secure, and ProjectCode does not guarantee the absolute security of any data transmitted to or stored within the Services.
Usage Limits and Fair Use
Your use of the Services may be subject to certain limitations, including but not limited to rate limits, usage quotas, computational restrictions, or other technical constraints.
You agree not to circumvent, exceed, or misuse such limitations. ProjectCode reserves the right to enforce usage limits, restrict access, or take appropriate action in cases of abuse, excessive usage, or activities that may negatively impact the Services or other users.
Data Deletion and Retention
The Services may provide you with the ability to delete your Data, including prompts, projects, and generated outputs. Upon your request or action to delete such data, ProjectCode will make reasonable efforts to remove it from active systems.
Notwithstanding the foregoing, you acknowledge that deletion may not be immediate and that certain data may be retained for a limited period in backups, logs, or archival systems, or as required to comply with applicable laws, enforce these Terms, or resolve disputes.
ProjectCode shall not be liable for any inability to recover data once it has been deleted. You acknowledge that deletion of Data is initiated by your actions and that, once deleted, such data may not be recoverable. While ProjectCode will make reasonable efforts to remove deleted data from active systems, residual copies may persist for a limited duration in backups or archival systems.
In addition to any in-platform deletion functionality, Users may submit requests for deletion of their data, including personal data, by contacting ProjectCode at the designated support email address provided in these Terms or on the Platform.
No Professional Advice
The Services and any outputs generated therefrom are provided for general informational and development purposes only and do not constitute legal, financial, technical, security, or engineering advice of any kind.
You acknowledge and agree that any reliance on the Services or such outputs is at your own risk. You are solely responsible for independently reviewing, testing, and validating any outputs prior to relying on, implementing, or deploying them, and for ensuring that they are accurate, appropriate, and suitable for your specific use case and requirements.
ProjectCode makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any outputs for any particular purpose.
ProjectCode does not monitor, control, or validate the use of Outputs in financial or credit-related contexts. The User is solely responsible for ensuring that any use of the Services in connection with lending, credit assessment, underwriting, or financial decision-making complies with applicable laws, regulations, and industry standards. ProjectCode shall not be liable for any consequences arising from the use of the Services in connection with such activities.
No Regulatory Classification
The Services are provided solely as a technology platform offering AI-assisted tools and infrastructure. ProjectCode does not provide, and shall not be construed as providing, any regulated services, including but not limited to legal, financial, investment, accounting, cybersecurity certification, engineering, or other professional advisory services under applicable law.
Nothing contained in these Terms or arising from the use of the Services shall be deemed to create any advisory, fiduciary, or professional relationship between ProjectCode and the User, nor shall it impose on ProjectCode any obligations applicable to regulated entities under applicable laws.
Intellectual Property and Ownership
ProjectCode retains all rights, title, and interest in and to the Services, including but not limited to all software, source code, systems, models, algorithms, user interfaces, designs, trademarks, branding, and underlying technology, along with any improvements, modifications, or derivative works thereof. No rights are granted to you except as expressly set forth in these Terms.
Subject to your compliance with these Terms and to the extent permitted under applicable law, you retain rights in the Outputs generated through your use of the Services. Notwithstanding the foregoing, you acknowledge and agree that Outputs may not be unique and may be similar or identical to outputs generated for other users; ProjectCode does not guarantee the originality, exclusivity, or ownership of any Outputs; and Outputs may include or be derived from third-party content, open-source components, or external dependencies, which may be subject to separate license terms.
You retain all rights, title, and interest in and to your Data, including any Inputs, prompts, files, or other content provided by you, subject to the rights granted to ProjectCode under these Terms.
Except as expressly permitted under these Terms, you shall not copy, modify, distribute, sell, license, reverse engineer, decompile, or otherwise attempt to extract or derive the source code, models, or underlying technology of the Services.
All trademarks, logos, and service marks displayed in connection with the Services are the property of ProjectCode or its licensors, and you are not granted any right or license to use them without prior written consent.
Nothing in these Terms shall be construed as granting you any rights, title, or interest in or to the Services or ProjectCode’s intellectual property, except for the limited right to access and use the Services in accordance with these Terms.
Confidentiality
Each party (“Receiving Party”) agrees to maintain the confidentiality of all non-public, proprietary, or sensitive information disclosed by the other party (“Disclosing Party”) in connection with the Services (“Confidential Information”).
Confidential Information shall include, without limitation, technical information, software, algorithms, product designs, business plans, pricing, user data, and personal data. The Receiving Party shall:
- use Confidential Information solely for the purpose of performing its obligations or exercising its rights under these Terms;
- not disclose such Confidential Information to any third party without the prior written consent of the Disclosing Party, except to its employees, affiliates, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less stringent than those set forth herein; and
- implement reasonable and appropriate security measures to protect such Confidential Information from unauthorized access, use, or disclosure.
To the extent Confidential Information includes personal data, the Receiving Party shall process such data in compliance with the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025 (as notified and amended from time to time). The obligations under this clause shall survive termination or expiration of these Terms.
Beta Features
ProjectCode may, from time to time, offer certain features or functionalities designated as “beta,” “experimental,” or “preview” features (“Beta Features”). Such Beta Features are provided on an “as is” and “as available” basis and may be modified, limited, or discontinued at any time without notice.
ProjectCode makes no representations or warranties regarding the reliability, availability, or performance of Beta Features, and you use them at your own risk.
Disclaimer
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted under applicable law, ProjectCode disclaims all warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Without limiting the foregoing, we do not represent or warrant that:
- the Services will be uninterrupted, secure, timely, or free from errors or defects;
- any outputs generated through the Services will be accurate, complete, reliable, or suitable for any particular purpose;
- any generated code, applications, or systems will be free from bugs, defects, or security vulnerabilities.
Your use of the Services is entirely at your own risk. This includes any reliance on outputs generated through the Services.
Indemnification
You agree to indemnify, defend, and hold harmless ProjectCode, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with:
- your access to or use of the Services;
- your violation of these Terms or any applicable laws or regulations;
- your Data, inputs, prompts, or generated outputs;
- your infringement or misappropriation of any intellectual property or other rights of any third party.
ProjectCode reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with such defense.
Limitation of Liability
To the fullest extent permitted under applicable law, ProjectCode, its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including but not limited to any loss of data, loss of profits, loss of revenue, business interruption, or other intangible losses, arising out of or in connection with your access to, use of, or inability to use the Services.
This limitation of liability shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if ProjectCode has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, to the fullest extent permitted under applicable law, the total aggregate liability of ProjectCode, its affiliates, directors, officers, employees, agents, and licensors arising out of or in connection with these Terms or the use of the Services shall not exceed the total amount of fees, if any, paid by you to ProjectCode for the Services in the twelve (12) months immediately preceding the event giving rise to such liability.
Termination
ProjectCode reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to or use of the Services, in whole or in part, at any time, with or without prior notice.
Such suspension or termination may occur, without limitation, if we reasonably determine that: (i) you have violated or are in breach of these Terms; (ii) your use of the Services poses a risk to the integrity, security, performance, or availability of the Services; (iii) your activities may result in harm, liability, or legal exposure to ProjectCode, its users, or any third party; or (iv) such action is necessary to comply with applicable laws, regulations, or requests from governmental or regulatory authorities.
We may also suspend or restrict access to the Services for maintenance, upgrades, security measures, or operational reasons, including in cases of suspected unauthorized access, abuse, or technical issues.
Upon suspension or termination, your right to access and use the Services shall immediately cease. Any provisions of these Terms which by their nature should survive termination, including but not limited to provisions relating to intellectual property, disclaimers, limitation of liability, and indemnity, shall continue in full force and effect.
ProjectCode shall not be liable for any loss, damage, or consequences arising from or in connection with any suspension, restriction, or termination of your access to the Services, including any loss of data, content, or functionality.
Changes to the Terms
ProjectCode reserves the right, in its sole discretion, to modify, update, or revise these Terms at any time.
Any such changes shall become effective upon being posted on the Services or otherwise made available to you, unless otherwise specified. It is your responsibility to review these Terms periodically for any updates or changes.
Your continued access to or use of the Services following the posting or implementation of any modifications constitutes your acknowledgment and acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease accessing or using the Services.
Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or in connection with these Terms or the use of the Services, including any question regarding their existence, validity, or termination, shall, to the fullest extent permitted under applicable law, be resolved through binding arbitration.
The arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, failing which, appointed in accordance with the Arbitration and Conciliation Act, 1996.
The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction. The arbitration proceedings shall be conducted in the English language.
Notwithstanding the foregoing, ProjectCode shall have the right to seek interim or injunctive relief from any court of competent jurisdiction, including the courts located in Ahmedabad, Gujarat, India, to protect its rights, intellectual property, or confidential information.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
Subject to the Dispute Resolution and Arbitration clause above, the courts located in Ahmedabad, Gujarat, India shall have jurisdiction for the purposes of granting interim relief, enforcement of arbitral awards, and matters not subject to arbitration.
By accessing or using the Services, you expressly consent to the jurisdiction and venue of such courts and waive any objections to such jurisdiction, including on the grounds of inconvenience or otherwise.
Miscellaneous
Entire Term
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ProjectCode regarding your access to and use of the Services and supersede all prior or contemporaneous understandings, communications, or agreements.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
Notices
Any notices or communications required or permitted under these Terms may be provided by ProjectCode through the Services, via email, or by posting on the website. You agree that such electronic communications satisfy any legal requirement that such communications be in writing. You are responsible for keeping your contact information up to date and for regularly reviewing communications from ProjectCode.
No Waiver
The failure of ProjectCode to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, nor shall any waiver be deemed a continuing waiver.
Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of ProjectCode. ProjectCode may assign or transfer its rights and obligations under these Terms, in whole or in part, at its sole discretion, including in connection with a merger, acquisition, reorganization, or sale of assets.
No Partnership
Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, fiduciary, or employment relationship between you and ProjectCode.
Force Majeure
ProjectCode shall not be liable for any failure or delay in the performance of its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, cyberattacks, failures of third-party services, or interruptions in internet or infrastructure services.
No Third-Party Beneficiaries
These Terms are intended solely for the benefit of you and ProjectCode and do not confer any rights or remedies upon any third party.
Order of Precedence
In the event that the User has entered into a separate written agreement with ProjectCode, including but not limited to a Master Services Agreement (MSA), Statement of Work (SOW), or other commercial agreement, the terms of such agreement shall prevail over these Terms to the extent of any inconsistency or conflict.
